Distance Sales Agreement

1. Parties

Buyer: the business that signs up to Tapiko at tapiko.app and starts a subscription; the person or organization named in its sign-up and billing details.
2. Subject of the agreement
A monthly subscription to the Tapiko software service, which lets businesses run a digital stamp card program, and the NFC stamper kit sent free of charge with it. The scope of the service is described on the features and pricing pages.
3. Main characteristics of the service and the kit
- Software service: the business dashboard (card design, branches, stampers, staff, customers, announcements, reports) and the digital stamp card customers open in their browser. Requires an internet connection and an up-to-date browser.
- Stamper kit: a stamper printed in the colour the business chose and registered to its branch, plus a spare stamper. Needs no battery or power connection.
4. Formation of the agreement
The agreement is formed when the buyer ticks, on the Subscription page, that they have read and accept this agreement and the Delivery, Cancellation and Refunds terms, and confirms the payment. The payment page shows the service name, the period and the total to be paid before payment.
5. Fee and payment
- The subscription fee is ₺599 per business per month (VAT included). Businesses with more than one branch receive a separate Enterprise quote.
- If a promotion code is used, the discounted total is shown on the payment page before the payment is confirmed.
- Payment is made by credit or debit card through the card form on the Subscription page. Card details are sent from the form directly to the licensed payment institution PayTR and never reach Tapiko's servers; the card is stored by PayTR for renewals.
- The subscription renews automatically every month on the same card. If a renewal charge fails, it is retried 1, 3 and 5 days later; if it still fails, the subscription ends and an email is sent to let you know.
- If you pay during the trial, the new period is added after the trial's remaining days; you do not lose them.
6. Free trial
New businesses start with a 30-day free trial. No card details are taken for the trial, and it does not turn into a paid subscription by itself; a paid period starts only when the buyer starts the payment themselves.
7. Performance of the software service
The software service is provided electronically; during the trial it becomes available when sign-up is complete, and in a paid period the moment the payment is confirmed. No separate delivery is needed for the service to become available.
8. Delivery of the stamper kit
- The kit is shipped free of charge by courier to the delivery address given at sign-up. Its status can be followed on the Stampers page of the dashboard.
- The kit is handed to the courier within the legal thirty-day period in all cases. If it becomes clear we cannot ship it in that time, we let the buyer know.
- The buyer is responsible for the accuracy of the delivery address and contact details; a kit returned because of a wrong address is sent again once the correct address is provided.
- The kit stays with the buyer even if the subscription is cancelled; it is not asked back.
9. Loss and damage in transit
The risk of loss and damage stays with us until the kit is delivered to the buyer. If the parcel looks damaged, we ask you to have the courier record a damage report on delivery and to write to us with a photo. We send a new kit free of charge in place of one lost or damaged in transit.
10. Right of withdrawal
The service is bought for the buyer's commercial or professional activity, so Consumer Protection Law No. 6502 and the Distance Contracts Regulation do not, as a rule, apply. Where the buyer counts as a consumer:
- For services performed instantly in electronic form and begun with the buyer's approval, the right of withdrawal cannot be exercised under Article 15 of the Distance Contracts Regulation. By confirming the payment, the buyer agrees that the service begins immediately.
- Because no fee is charged for the free stamper kit, no payment arises to be refunded; the kit does not need to be returned.
In every case the buyer can cancel the subscription at any time; details are on the Delivery, Cancellation and Refunds page.
11. Cancellation
Automatic renewal can be switched off with one click on the Subscription page of the dashboard. After cancellation the stored card is not charged, the card's PayTR reference is deleted from our system, and the service continues until the end of the paid period. No partial refund is made for a period that has started.
12. Defective service and faulty stampers
- If an interruption or error attributable to us materially prevents use of the service, write to us; we first try to fix it. For interruptions that cannot be fixed and affect a significant part of a period, we refund the amount corresponding to the affected time or credit it to the next period.
- We replace a stamper that does not work under normal use with a new one free of charge. You can also prepare a new stamper yourself from the dashboard.
13. Incorrect or duplicate charges
For an incorrect or duplicate charge, or a fee taken after cancellation, the full amount is refunded to the card used for payment through PayTR within 14 days.
14. Buyer's obligations
The buyer is responsible for the accuracy of the sign-up, billing and delivery details, for using the service in line with the Terms of Service, and for processing the customer data seen in the dashboard lawfully.
15. Personal data
Personal data processed under this agreement is processed in line with the Privacy Policy.
16. Force majeure
Neither party is liable for failing to perform its obligations during events beyond the parties' control, such as natural disasters, epidemics, war, widespread internet or power outages, events that halt courier operations and decisions of authorities.
17. Notices and keeping the agreement
Notices between the parties are sent to the buyer's registered email address and to info@tapiko.app. The current text of this agreement is published on this page; the text accepted at the moment of payment and the payment record are kept electronically by us and sent to the buyer on request.
18. Disputes
This agreement is governed by the laws of the Republic of Turkey. The courts and enforcement offices of İstanbul (Anadolu) have jurisdiction over disputes; where the buyer counts as a consumer, the Consumer Arbitration Committees and Consumer Courts have jurisdiction.
19. Entry into force
The buyer declares, before completing the payment step, that they have read and accept this agreement. See also: Terms of Service, Privacy Policy.
